1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and DAPY Limited ("DAPY", "we", "us", or "our"), a company registered in England and Wales under company number 17122892. By accessing or using our website, mobile application, or any of our services (collectively, the "Platform"), you agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Platform. We reserve the right to modify these Terms at any time, and your continued use of the Platform following any changes constitutes your acceptance of the revised Terms.

2. Description of Services

DAPY operates a food delivery platform that connects restaurants with delivery drivers and customers. Our services include:

  • A marketplace where customers can discover and order from local restaurants
  • Integration with restaurant EPOS systems for seamless order management
  • Connection to delivery driver networks for order fulfilment
  • Branded website creation and hosting for partner restaurants
  • Analytics and reporting tools for restaurant partners

DAPY acts as an intermediary platform. We do not prepare food, employ delivery drivers directly, or guarantee the quality of food or delivery services provided by third parties.

3. User Accounts

3.1 Registration

To access certain features of the Platform, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised access to or use of your account. DAPY shall not be liable for any loss or damage arising from your failure to maintain the security of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at our sole discretion, without notice, for conduct that we determine violates these Terms, is harmful to other users, or is otherwise objectionable.

4. Restaurant Partner Terms

If you register as a restaurant partner on the Platform, the following additional terms apply:

  • Flat Fee: DAPY charges a flat fee of £1 per order processed through the Platform. No percentage-based commissions apply.
  • Menu Accuracy: You are responsible for ensuring that your menu, pricing, and availability information on the Platform is accurate and up to date.
  • Food Safety: You must comply with all applicable food safety regulations, including the Food Safety Act 1990 and the Food Hygiene Regulations.
  • EPOS Integration: Where applicable, you agree to maintain a compatible EPOS system and ensure connectivity for order processing.
  • Customer Data: Unlike traditional aggregators, DAPY provides you with access to your customer data. You must handle this data in compliance with UK GDPR and the Data Protection Act 2018.

5. Customer Terms

If you use the Platform as a customer to place orders, the following additional terms apply:

  • Orders: When you place an order through the Platform, you are entering into a contract with the restaurant for the supply of food and with the delivery partner for delivery services.
  • Pricing: Prices displayed on the Platform reflect in-store prices set by the restaurant. A delivery fee may apply and will be clearly displayed before you confirm your order.
  • Payment: All payments are processed securely through our payment partners. By placing an order, you authorise us to charge your selected payment method.
  • Cancellations: Orders may be cancelled within a limited window after placement. Once a restaurant has begun preparing your order, cancellation may not be possible, and you may be charged in full.
  • Allergies and Dietary Requirements: It is your responsibility to check allergen information provided by the restaurant. DAPY does not guarantee the accuracy of allergen or dietary information.

6. Payments and Fees

All fees and charges are stated in British Pounds Sterling (GBP) unless otherwise indicated. Restaurant partners are billed for the flat per-order fee on a regular billing cycle. Customers are charged at the point of order. All payments are non-refundable except as expressly stated in these Terms or required by applicable law.

We reserve the right to modify our fee structure at any time. Restaurant partners will be given at least 30 days' notice of any fee changes.

7. Intellectual Property

The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement) are owned by DAPY, its licensors, or other providers and are protected by United Kingdom and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from our Platform without our prior written consent, except as permitted by these Terms.

8. Prohibited Conduct

You agree not to use the Platform to:

  • Violate any applicable law, regulation, or these Terms
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Engage in any fraudulent, abusive, or harmful activity
  • Interfere with or disrupt the Platform or its servers and networks
  • Attempt to gain unauthorised access to any part of the Platform
  • Use automated systems (bots, scrapers, etc.) to access the Platform without our written permission
  • Collect or harvest personal information of other users
  • Upload or transmit viruses, malware, or other harmful code

9. Limitation of Liability

To the fullest extent permitted by law, DAPY shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of (or inability to access or use) the Platform
  • Any conduct or content of any third party on the Platform
  • The quality, safety, or legality of food prepared by restaurant partners
  • The conduct of delivery drivers or any delay in delivery
  • Unauthorised access, use, or alteration of your transmissions or content

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

10. Indemnification

You agree to defend, indemnify, and hold harmless DAPY, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any rights of another party.

11. Dispute Resolution

Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall first be subject to good faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party may refer the matter to the courts of England and Wales.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any disputes.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law. The failure of DAPY to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14. Changes to These Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Platform after any revisions become effective, you agree to be bound by the revised Terms.
